FNDS awards million-dollar tender to two-month-old company

In April 2023, the National Fund for Sustainable Development (FNDS) awarded five million-dollar lots from a public tender to a one-man company that had been set up for around two months by the time the award was published. The tender was launched in 2022 and the lots are valued at more than 19 million US dollars.

The company in question is Terra Vital - Sociedade Unipessoal, Limitada (Vital capital - Sociedade Unipessoal, Limitada), which, according to the Boletim da República, III Series, Number 32, of February 16, 2023, Thursday, pages 975/6, was incorporated on February 13, 2023.

According to the newspaper NewsOn April 20, 2023, page 38, the FNDS awarded public tender 57/MLAND/NCS/2022 to Terra Vital Consortium Proprietary, the object of which is the Delimitation of Communities and Basic Land Use Planning and Issuance of Community Delimitation Certificates (RDUATS) for the MOZLAND Project (Terra Segura), Phase II A. A total of five lots were awarded to Vital Consortium Proprietary, namely the 4th (3,225,000 USD/$); the 5th (3,262,500 USD/$); the 7th (4,365,000 USD/$); the 10th (4,274,478 USD/$); and the 13th (4,275,000 USD/$). The lots total 19,401.978 US dollars (approximately 1,241,726,592 meticais, at the current exchange rate).

The company - which did not exist before the launch of the public tender - has only one shareholder, with a share capital of 100,000 meticais that "corresponds to a single share held by Terra Vital Consortium Proprietary, Limited", the entity's reference in that FNDS award.

The company's main duties, according to the BR, are: "i) Innovation in decision-making and data visualization using technologies and development of IT solutions in the areas of GIS, land management and smart city; ii) Implementation of cadastral surveys and measurements for urban planning and land management."

However, this object does not prevent the sole shareholder from carrying out commercial activities that are related, complementary or secondary to its main ones, and it may even "join or participate in the share capital of other companies", as permitted by law.

The public tender in question awarded the remaining lots to other companies, namely lot 6 to GIS/Transport (2,913.915 USD/$); 8 (3,067.324.11 USD/$) and 9th (3,056,250.66 USD/$) to Verde Azul Consult, LTD; and lots 11th (3,234,482.94USD/$) and 12th (2,912,221.15 USD/$) to GEOMAPS/ TOPMAP/ATOPOCOME.
